Our Story

The Microcap Coalition was organized in 2026 when a group of entrepreneurs, investors and advisers recognized that small public companies were increasingly being squeezed by burdensome regulations and exchange rules and policies that make it increasingly difficult for microcap issuers to go public, stay public, and prosper as newly listed companies.

What Is a Micro‑Cap Company?

A micro‑cap company is a publicly traded firm with a market capitalization of under about $300 million. These companies often represent cutting‑edge sectors like biotech, cybersecurity, AI, clean energy, defense and advanced materials. While micro‑caps offer significant growth potential and advance public health, national security, and job creation, their small size makes them sensitive to market swings and regulatory burdens.

Why Organize as a Coalition?

  • Advocate Collectively: By uniting companies, advisers and capital providers, we create a strong collective voice on Capitol Hill, before the White House, SEC, and other federal agencies.
  • Promote Appropriate Listing Standards: We advocate against rules—such as Nasdaq’s proposed hard $5 million MVLS floor—that could suspend trading based on temporary price drops.
  • Support Capital Formation: We push for government policies that improve access to public markets so innovative businesses can attract investment, create liquidity for their shareholders and create jobs.
